These Terms of Use ("Terms") govern your access to and use of the CHLOXIO platform, website, applications, services, software, features, and related technologies (collectively, the "Services").

By creating an account, accessing, browsing, uploading content to, or otherwise using CHLOXIO, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the Services.

You must be at least 18 years old to create an account and use CHLOXIO.

By using CHLOXIO, you represent and warrant that:

• You are at least 18 years of age.
• You have the legal authority to enter into these Terms.
• You are authorised to upload, process, and manage any content submitted to CHLOXIO.
• Your use of CHLOXIO complies with all applicable laws and regulations.

To access certain features, you must create an account.

You agree to:

• Provide accurate information.
• Maintain current account information.
• Keep login credentials confidential.
• Notify CHLOXIO immediately of any unauthorised access.

You are responsible for all activities occurring under your account.

You retain ownership of all videos, media files, metadata, text, search queries, and other content you upload to CHLOXIO ("User Content").

CHLOXIO does not claim ownership of your User Content.

However, by uploading User Content, you grant CHLOXIO a limited, non-exclusive licence to:

• Store content.
• Process content.
• Index content.
• Analyse content.
• Generate search results.
• Create previews.
• Generate metadata.
• Enable functionality requested by you.

This licence exists solely for the purpose of operating and improving the Services.

CHLOXIO uses artificial intelligence, machine learning, computer vision, search technologies, and third-party processing providers to analyse and organise uploaded content.

By uploading content, you acknowledge and consent to:

• Video analysis.
• Scene detection.
• Object detection.
• Metadata generation.
• Search indexing.
• Similarity analysis.
• Archive intelligence features.

CHLOXIO makes no guarantee that AI-generated results are always accurate, complete, or error-free.

Users are responsible for reviewing and verifying all generated outputs.

You agree not to:

• Upload unlawful content.
• Upload malware or malicious code.
• Infringe intellectual property rights.
• Circumvent security controls.
• Attempt unauthorised access.
• Reverse engineer the platform.
• Abuse API functionality.
• Interfere with other users.
• Use CHLOXIO for illegal surveillance activities.
• Upload content that violates applicable laws.

Additional restrictions may be described in the Acceptable Use Policy.

You are solely responsible for ensuring you possess all necessary rights to upload, process, store, and manage content using CHLOXIO.

CHLOXIO is not responsible for verifying ownership of uploaded content.

If CHLOXIO receives a valid infringement complaint, CHLOXIO reserves the right to:

• Remove content.
• Suspend access.
• Terminate accounts.

Certain Services require a paid subscription.

Subscription plans, pricing, usage limits, and features are described on the Pricing page.

Fees are billed in advance.

Unless otherwise stated:

• Subscription fees are non-refundable.
• Unused indexing minutes do not roll over.
• Usage limits reset at the beginning of each billing cycle.

CHLOXIO may modify pricing with reasonable notice.

Free accounts may receive limited indexing minutes and restricted functionality.

CHLOXIO reserves the right to modify or discontinue free plans at any time.

CHLOXIO aims to provide reliable service but does not guarantee uninterrupted availability.

Service interruptions may occur due to:

• Maintenance.
• Third-party outages.
• Infrastructure failures.
• Security incidents.
• Force majeure events.

CHLOXIO may modify, suspend, or discontinue features without liability.

CHLOXIO may utilise third-party providers including but not limited to:

• Cloud storage providers.
• AI processing providers.
• Payment processors.
• Authentication services.
• Analytics services.

Your use of CHLOXIO may also be subject to applicable third-party terms.

CHLOXIO may retain data as reasonably necessary to:

• Operate the platform.
• Maintain backups.
• Resolve disputes.
• Comply with legal obligations.

Deleted content may remain in backup systems for a limited period.

You may terminate your account at any time.

CHLOXIO may suspend or terminate accounts that:

• Violate these Terms.
• Violate applicable law.
• Pose security risks.
• Abuse platform resources.

Upon termination, access to Services may be revoked immediately.

CHLOXIO is provided on an "as is" and "as available" basis.

To the maximum extent permitted by law:

CHLOXIO disclaims all warranties, express or implied, including:

• Merchantability.
• Fitness for a particular purpose.
• Non-infringement.
• Availability.
• Accuracy.

CHLOXIO does not guarantee that:

• Search results will be accurate.
• AI outputs will be error-free.
• Services will be uninterrupted.

To the maximum extent permitted by law:

CHLOXIO, its owners, employees, contractors, and affiliates shall not be liable for:

• Indirect damages.
• Consequential damages.
• Lost profits.
• Lost revenue.
• Lost business opportunities.
• Data loss.
• Content loss.

CHLOXIO's total liability shall not exceed the fees paid by you to CHLOXIO during the preceding twelve months.

You agree to indemnify and hold harmless CHLOXIO, its owners, employees, contractors, and affiliates from any claims, liabilities, damages, losses, costs, and expenses arising from:

• Your use of the Services.
• Your uploaded content.
• Your violation of these Terms.
• Your violation of applicable law.

CHLOXIO may update these Terms periodically.

Updated versions will be published on this page.

Continued use of the Services following updates constitutes acceptance of the revised Terms.

These Terms shall be governed by and construed in accordance with the laws of Jersey, Channel Islands.

Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Jersey.
